Gbanjo Terms of Service

These Terms of Service ("Terms") govern your access to and use of Gbanjo, including the Gbanjo mobile applications, public website, auction pages, and related services (together, the "Service").

Gbanjo is operated by Griid Network LTD, with its registered address at 7 Ibiyinka Olorunbe, Victoria Island, Lagos ("Gbanjo", "we", "us", or "our").

By creating an account, placing a bid, listing an item, buying an item, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms should be read together with our:

  • Privacy Policy;
  • Seller Terms, where you sell or list items;
  • Marketplace Rules and Prohibited Items Policy;
  • Bid Deposit Policy;
  • any transaction-specific terms shown to you before you act.

If there is a conflict, transaction-specific terms shown before the relevant action will apply to that transaction to the extent of the conflict, subject always to applicable law.


1. Who may use Gbanjo

You must be at least 18 years old and have legal capacity to enter into binding contracts.

You may not use Gbanjo if:

  • you are legally prohibited from using the Service;
  • your account has been suspended or terminated and we have not authorized your return;
  • you provide false identity information or use another person's account without authority.

You are responsible for keeping your account credentials secure and for activity carried out through your account, except where unauthorized activity results from circumstances for which Gbanjo is legally responsible.


2. One account, buying and selling

A Gbanjo account may be used to both buy and sell.

There is no separate buyer account and seller account. Additional eligibility checks, identity verification, payout setup, or Seller Terms acceptance may be required before you can use specific seller or transaction features.


3. What Gbanjo does

Gbanjo provides marketplace and auction infrastructure that allows users to:

  • create and publish auctions and eligible listings;
  • discover public auctions;
  • place bids;
  • pay bid deposits;
  • determine winning bids through the auction system;
  • collect purchase payments;
  • use Gbanjo Protected Payment;
  • communicate in transaction chat after the required payment conditions are met;
  • record delivery, pickup, handoff, completion, disputes, and payout states;
  • access public seller profiles, public listing questions, and other marketplace information.

Gbanjo is the marketplace operator and transaction facilitator.

Unless we expressly say otherwise for a specific service, Gbanjo is not:

  • the owner or seller of user-listed items;
  • the buyer of user-listed items;
  • an appraiser;
  • an authenticator;
  • a vehicle inspector;
  • a title or ownership verification service;
  • a ticket issuer or event organizer;
  • a courier, delivery company, or logistics provider;
  • a warehouse;
  • a legal conveyancer;
  • a bank or deposit-taking institution.

4. Listings and seller responsibility

Sellers are responsible for their listings.

A seller must:

  • own the item or be authorized to sell it;
  • have the legal right to transfer it;
  • describe the item accurately to the best of their knowledge;
  • use photos or media that fairly represent the item;
  • disclose known material defects, restrictions, or limitations;
  • disclose material transfer restrictions, where relevant;
  • complete the agreed handoff if the transaction succeeds.

Seller statements about authenticity, provenance, ownership, title, mileage, documents, ticket validity, transferability, or condition are seller representations unless Gbanjo expressly states that a separate Gbanjo verification service has verified them.

Sellers are subject to the separate Seller Terms.


5. Buyer responsibility and due diligence

Buyers are responsible for deciding what an item is worth to them and for carrying out the due diligence appropriate to the item before confirming transaction completion.

Depending on the item, due diligence may include:

  • physical inspection;
  • functional testing;
  • authenticity checks;
  • serial-number checks;
  • provenance checks;
  • vehicle ownership, title, VIN/chassis, registration, lien, or document checks;
  • verifying transfer documentation;
  • confirming ticket transfer and entry restrictions;
  • using an independent expert where the buyer considers that appropriate.

Gbanjo does not guarantee the authenticity, provenance, title, ownership, safety, legality, or fitness of a user-listed item merely because it appears on the Service.

Nothing in this section limits any legal obligation of a seller or any non-waivable consumer right.


6. Auction formats

Gbanjo may support:

  • Auction;
  • Buy Now;
  • Auction + Buy Now;
  • Public auctions;
  • Unlisted auctions;
  • Invite-only auctions;
  • Scheduled auctions.

The listing will show the applicable format and auction rules.

Gbanjo's backend is authoritative for:

  • accepted bids;
  • current bid;
  • minimum next bid;
  • auction start and end time;
  • extensions;
  • winner determination;
  • auction state.

Client clocks, screenshots, cached data, notifications, or third-party reposts are not authoritative.


7. Bids

A bid is a serious commitment.

By placing a bid, you confirm that:

  • you intend to buy the item if you become the winning bidder;
  • you are willing and able to complete the required payment;
  • you have reviewed the listing information available to you;
  • you accept the applicable bid deposit and auction rules shown before bidding.

Gbanjo may reject a bid if, for example:

  • the auction has ended;
  • a higher bid was accepted first;
  • the bid does not meet the minimum;
  • required bidder eligibility is not satisfied;
  • a required deposit or top-up has not been completed;
  • the bidder is restricted;
  • the bid would violate marketplace rules.

A displayed bid is not accepted until the backend records it as accepted.


8. Anti-sniping and auction extensions

Where an auction uses an extension or anti-sniping rule, a valid bid placed near closing may extend the auction.

The applicable rule will be shown in the auction experience.

The server-determined end time is authoritative.


9. Reserve / minimum selling price

A seller may be allowed to set a minimum selling price or reserve.

Where the reserve amount is private, bidders may see only whether the minimum has or has not been met.

Gbanjo does not have to disclose the private reserve amount.


10. Bid deposits

Every auction requires bidders to satisfy the applicable bid deposit requirement before a valid bid can be accepted.

The deposit amount applicable to you will be shown before payment.

A bid deposit:

  • is not a Gbanjo wallet balance;
  • is not marketplace revenue merely because it has been collected;
  • qualifies the bidder to bid within the applicable rules;
  • may require a top-up if the bidder attempts to move into a higher bid band.

For an unsuccessful bidder, the deposit is returned in accordance with the applicable deposit policy and payment-provider processing timelines.

For the winning bidder, the deposit is applied toward the purchase price.

If a winning bidder fails to complete payment, Gbanjo may apply the consequences disclosed before bidding and in the applicable default policy, including account restrictions and, where lawfully disclosed and permitted, loss or retention of some or all of the deposit.


11. Deposit Reference Value

For launch deposit policy purposes, Gbanjo may calculate an operational Deposit Reference Value using the highest available seller-set price among:

  • starting bid;
  • reserve / minimum selling price;
  • Buy Now price.

This value is used for deposit qualification.

It is not an appraisal or independent estimate of market value.

A bidder's attempted bid amount may independently require a higher deposit qualification or top-up.


12. Winner payment

When an auction ends, the winning bidder must pay the remaining purchase balance by the deadline shown in the Service.

The winning bidder's deposit is applied toward the purchase price.

Private seller contact details and private transaction chat are not unlocked merely because:

  • the bidder paid a bid deposit;
  • the bidder is currently winning;
  • the auction ended;
  • a payment screen was opened.

They unlock only after Gbanjo's backend confirms that the required purchase payment has reached the applicable paid state.


13. Gbanjo Protected Payment

Gbanjo may delay seller payout until the transaction reaches the required completion state.

"Gbanjo Protected Payment" describes this marketplace protection process.

Unless Gbanjo expressly states otherwise, it is not a representation that Gbanjo operates a legal escrow account, trust account, bank account, or deposit-taking service.

Payment processing may be provided by third-party payment service providers.


14. Contact details and transaction chat

Before purchase payment is completed:

  • bidders may see only the seller's public marketplace identity and information;
  • private seller contact details remain hidden;
  • private transaction chat with the seller remains locked.

After the winning buyer's required purchase payment is confirmed:

  • Gbanjo may disclose the seller's approved contact details to the winning buyer;
  • Gbanjo may unlock a private transaction chat between the winning buyer and seller;
  • the parties may use those tools to arrange pickup, seller delivery, inspection, handoff, or transfer.

Contact information disclosed after payment is provided only for completing the transaction and must not be misused, harassed, sold, scraped, or used for unrelated marketing.


15. Pickup and seller delivery

Gbanjo does not provide logistics.

A listing may state that the seller offers:

  • Pickup;
  • Seller Delivery;
  • Both.

These options mean that the buyer and seller arrange the handoff directly.

Gbanjo does not:

  • assign a rider;
  • book a courier;
  • provide a delivery quote;
  • track a parcel;
  • guarantee delivery times.

The seller is responsible for any seller-arranged delivery.

The buyer is responsible for attending or arranging an agreed pickup.


16. Marking handoff and completion

After a physical or digital handoff:

  • the seller may mark the item as delivered, handed over, or transferred, as applicable;
  • the buyer may confirm that the item was received and the transaction is complete;
  • the buyer may report a problem instead of confirming completion.

Seller confirmation alone does not automatically require Gbanjo to release seller payout.

Seller payout becomes eligible when the transaction completion conditions are satisfied or a dispute is resolved.

Where completion is not confirmed or a dispute is raised, Gbanjo may continue to restrict payout while the matter is reviewed.


17. Tickets and events

Ticket sellers must ensure that:

  • they have the right to sell the ticket;
  • the ticket is transferable;
  • the listing accurately states the event, ticket type, quantity, transfer method, and material restrictions;
  • the ticket is transferred by the agreed deadline.

Sellers must not publish usable QR codes, barcodes, or access credentials in public listing media.

Buyers are responsible for reviewing ticket restrictions and confirming successful transfer.

Gbanjo does not control event organizers, venues, postponements, cancellations, admission decisions, or organizer refund policies.

Where an event is cancelled, postponed, rescheduled, or materially changed, Gbanjo may apply the applicable refund/dispute policy and any rights required by law.


18. Vehicles, watches, art, equipment, and other due-diligence items

Certain items may require additional buyer due diligence.

For example:

  • vehicle buyers may need to inspect the vehicle and verify ownership and transfer documents;
  • watch or jewellery buyers may choose to verify authenticity;
  • art or collectible buyers may choose to verify provenance;
  • machinery buyers may choose to inspect or test equipment.

Gbanjo may provide contextual reminders, but responsibility for carrying out the buyer's chosen due diligence remains with the buyer unless Gbanjo expressly offers a separate verification service.


19. Public, unlisted, and invite-only auctions

Public

Public auctions may appear in Gbanjo discovery, public seller profiles, category pages, search, shared links, and search engines.

Unlisted

Unlisted auctions are not intended for public discovery but may be viewed by anyone who has the link, subject to applicable access rules.

Invite-only

Invite-only auctions are restricted to authorized participants. Sharing an invitation link does not necessarily grant access to another person.

Gbanjo may require sign-in or app access before an invite-only auction can be viewed or joined.


20. Public web and mobile applications

Some Gbanjo features may be view-only on the public website and require the Gbanjo mobile application to participate.

For example, Gbanjo may require the app for:

  • bidding;
  • deposits;
  • payment;
  • transaction chat;
  • order management;
  • disputes;
  • seller management.

Gbanjo may change feature availability over time.


21. Fees

Gbanjo may charge marketplace, seller, payment, promotional, or other fees.

Any fee that applies to a transaction will be disclosed before the user takes the action that causes the fee to become payable.

Seller-specific fees are also governed by the Seller Terms.

We may change future fees by giving appropriate notice. A fee change will not retroactively alter a completed transaction unless required by law or agreed by the affected user.


22. Refunds and payment reversals

Refunds may arise from:

  • unsuccessful bid deposits;
  • cancelled transactions;
  • dispute resolutions;
  • payment errors;
  • event-ticket issues;
  • rights required by applicable law.

Refund timing may depend on the payment service provider, bank, payment method, and processing network.

A refund being initiated by Gbanjo does not mean the user's bank will display it immediately.

Nothing in these Terms removes any refund or cancellation right that cannot lawfully be excluded.


23. Chargebacks

You must not misuse a bank or payment-provider chargeback process to avoid a legitimate payment obligation.

If you raise a chargeback, Gbanjo may:

  • restrict payout;
  • restrict the account;
  • provide transaction records to the payment provider or bank;
  • suspend related transaction activity;
  • take reasonable steps to recover amounts lawfully due.

This does not prevent you from exercising a lawful chargeback or payment-dispute right.


24. Prohibited conduct

You may not:

  • manipulate auctions;
  • bid on your own auction;
  • arrange sham or coordinated bids;
  • use fake accounts to inflate price or activity;
  • threaten, harass, or abuse another user;
  • scrape private contact information;
  • bypass Gbanjo payment controls;
  • move a transaction off-platform in order to avoid applicable Gbanjo fees after the auction has formed a transaction;
  • post false, misleading, stolen, counterfeit, illegal, or prohibited items;
  • interfere with the Service or attempt unauthorized access;
  • use the Service for fraud, money laundering, or other unlawful activity.

25. Prohibited and restricted items

Gbanjo may prohibit or restrict categories or specific items.

Examples may include:

  • illegal goods;
  • stolen goods;
  • counterfeit goods;
  • prohibited weapons;
  • controlled substances;
  • official identity documents;
  • financial accounts or credentials;
  • prohibited hazardous goods;
  • recalled unsafe goods;
  • anything unlawful to sell.

The Marketplace Rules and Prohibited Items Policy may contain more detailed rules and may be updated to reflect law, risk, or platform safety requirements.


26. Cancellations and auction integrity

A seller may not freely cancel or materially alter an auction after accepted bidding has begun.

Gbanjo may allow cancellation in limited circumstances, including:

  • legal or safety reasons;
  • material listing error;
  • item loss or destruction;
  • fraud or account compromise;
  • other reasons allowed by marketplace policy.

Gbanjo may cancel, suspend, or invalidate an auction where necessary to protect users, enforce law, correct a system error, or maintain auction integrity.


27. Disputes

Where a transaction problem occurs, users should use Gbanjo's dispute process.

Gbanjo may:

  • request information or evidence;
  • restrict seller payout while a dispute is open;
  • communicate with both parties;
  • review listing, payment, chat, handoff, and transaction records;
  • issue a refund, partial refund, payout, partial payout, or other resolution where permitted by applicable policy and law;
  • suspend or restrict accounts.

Gbanjo's marketplace resolution process does not remove any statutory right to seek external redress.


28. Reviews and public content

Users may be allowed to publish:

  • listings;
  • public questions;
  • answers;
  • reviews;
  • profile information;
  • other marketplace content.

You remain responsible for content you submit.

You grant Gbanjo a worldwide, non-exclusive, royalty-free license to host, reproduce, format, display, distribute, and use that content as reasonably necessary to operate, promote, secure, and improve the Service.

You must not submit content that is unlawful, defamatory, infringing, deceptive, or violates another person's privacy or rights.


29. Intellectual property

Gbanjo and its licensors own the Service, including its software, design system, branding, logos, interface, and other protected materials, except for user content and third-party materials.

You may use the Service only for its intended purpose.

You may not copy, reverse engineer, resell, or commercially exploit Gbanjo intellectual property except as permitted by law or with our written permission.


30. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal data.

By using the Service, you acknowledge that your personal data will be processed as described in that policy and as otherwise permitted by applicable law.


31. Third-party services

Gbanjo may depend on third-party providers for services such as:

  • payment processing;
  • identity verification;
  • cloud hosting;
  • analytics;
  • communications;
  • security;
  • app distribution.

Your use of certain third-party services may also be subject to their own terms.

Gbanjo is not responsible for third-party acts to the extent the law permits, but this does not reduce Gbanjo's own legal obligations.


32. Service availability and changes

We may modify, suspend, or discontinue features.

We do not guarantee that the Service will always be uninterrupted, error-free, or available on every device.

We may perform maintenance, respond to security events, comply with law, or restrict features where necessary.


33. Account suspension and termination

Gbanjo may restrict, suspend, or terminate an account where reasonably necessary because of:

  • fraud or suspected fraud;
  • serious marketplace-rule breaches;
  • payment default;
  • chargeback abuse;
  • account compromise;
  • prohibited items;
  • manipulation of auctions;
  • legal or regulatory requirements;
  • risk to users or the Service.

Where appropriate and lawful, we will provide notice or an opportunity to respond.

Termination does not remove obligations arising from transactions already entered into.


34. Disclaimers

The Service is provided on an "as available" basis, subject to applicable law.

Gbanjo does not warrant that:

  • every listing is accurate;
  • every user will complete a transaction;
  • every item is authentic;
  • every item is suitable for a particular purpose;
  • every seller has correctly described an item;
  • every auction will achieve a particular price.

Nothing in these Terms excludes warranties, guarantees, remedies, or consumer rights that cannot lawfully be excluded.


35. Limitation of liability

To the maximum extent permitted by law, Gbanjo will not be liable for indirect, incidental, special, punitive, or consequential loss arising solely from:

  • a user's item;
  • another user's conduct;
  • off-platform pickup or seller delivery;
  • independent buyer due diligence;
  • event-organizer decisions;
  • third-party services outside Gbanjo's control.

This limitation does not apply where liability cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence where applicable, or statutory consumer rights.


36. Indemnity

Where permitted by law, a user who causes Gbanjo loss through unlawful conduct, fraud, infringement, prohibited listings, or a material breach of these Terms may be required to reimburse Gbanjo for reasonable losses, claims, costs, or expenses caused by that conduct.

This clause is subject to applicable consumer-protection law.


37. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Nothing in these Terms removes any right you may have under applicable consumer-protection, data-protection, or other mandatory law.

Before starting court proceedings, users and Gbanjo should first try in good faith to resolve the issue through Gbanjo Support or the applicable dispute process, except where urgent relief is required.

Courts of competent jurisdiction in Nigeria will have jurisdiction, subject to any mandatory legal rights that apply.


38. Changes to these Terms

We may update these Terms.

Where a change is material, we will provide appropriate notice through the Service, email, or another reasonable method.

The updated Terms will state a new effective date.

Where required by law or where a change materially affects an existing contractual right, we will seek any additional agreement required before applying the change.
